- the constitutive act must contain the data provided for in art.247 and art.272 of the Civil Code;
- it comprises at least one general partner and one limited partner. General partners bear joint and unlimited liability with their entire patrimony, while limited partners bear liability with the part of their assets contributed;
- the name of the limited partnership must include the phrase “societate în comandită” in the state language or the abbreviation “S.C.”, together with the names of the general partners. If the names of the general partners are not included, the name of the partnership must include the name of at least one of the general partners and the phrase “şi compania” in the state language or the abbreviation “şi Co”. If the name of a limited partner is included in the name of the partnership, that partner bears joint and unlimited liability;
- the management of the partnership is exercised by the general partners. Limited partners are not entitled to participate in the management and administration of the partnership;
- the rights and obligations of the limited partner are stipulated in art.139 of the Civil Code.
